INTRODUCTION
These Terms and Conditions (“T&Cs”) are mandatory and binding between the person using the Application (the “User”), in accordance with the scope of this legal instrument, and WISE CRICKET, S.A.P.I. DE C.V. (“We” or “WISE CRICKET”). Consequently, this document constitutes a binding contract and represents the complete agreement between the parties (the User and WISE CRICKET, jointly referred to as the “Parties”) regarding the use of the website, applications and digital tools owned by WISE CRICKET (the “Application”). By accessing, using the Application and/or creating a profile within it, the User expressly consents to these T&Cs.
GENERAL DECLARATION AND TERMS
To be able to use the Application and be bound by the terms of these T&Cs, the User must be of legal age. Under no circumstances is access or use of the Application permitted to persons under 18 years of age. Likewise, if the User acts on behalf of a legal entity, they declare to have the necessary and sufficient legal powers to bind their represented entity in accordance with these T&Cs. For our part, we declare that: (i) WISE CRICKET is an entity legally constituted in accordance with the laws of the United Mexican States; and (ii) WISE CRICKET is current in compliance with its tax obligations. Any breach by the User of these T&Cs will authorize WISE CRICKET to immediately terminate the relationship with the User, without the need for judicial resolution or prior requirement.
DATA VERIFICATION
By accessing, using and/or creating a profile in the Application, the User accepts that WISE CRICKET may verify, directly or through third parties, at any time, the veracity of the data they provide. In case the information provided to create their Profile is false, inaccurate or incomplete, WISE CRICKET may, at its sole discretion, deny access to the Application and delete any content related to said User. The User acknowledges and accepts this verification power, whether exercised directly by WISE CRICKET or through an authorized third party.
MODIFICATIONS AND UPDATES
WISE CRICKET reserves the right to: (i) modify or add to these T&Cs at any time; and (ii) offer new services or functionalities through the Application. The User must stay alert to any updates to these T&Cs. The modifications made will be applicable to all websites, applications and technological tools owned by WISE CRICKET, and will take effect from their publication or update. In any case, WISE CRICKET will notify Users of the date of the last modification, either through the Application itself or by email, informing about the corresponding changes and updates.
PRIVACY AND PERSONAL DATA PROTECTION
The personal data that WISE CRICKET collects from Application Users will be processed in accordance with what is established in the Privacy Notice available on the website, mobile applications, digital tools and offices of WISE CRICKET. To learn the details about the collection, registration, conservation, modification, consultation, use, transfer, dissemination, access enablement, comparison, interconnection, limitation, deletion or destruction of personal data, the User must consult the Privacy Notice.
GENERAL CONDITIONS
Users may create an account (the “User Account”) through the Application, which will allow them to connect their systems with information from the Tax Administration Service (“SAT”), through our web platform. This in order to contract the services offered by WISE CRICKET, which are designed to optimize: – Personal and business finances; – Tax and financial audits; and – Accounting services. To create a User Account, the User must access the following link: https://www.wisecricket.ai, select the “Sign Up” option and complete the automated form with the requested data, which may be verified by WISE CRICKET.
OUR SERVICES
By creating a User Account, the User may contract the following services (the “Services”): – Invoice download: Access to updated tax information of the User to collect received and issued invoices. – Contracts: Parameterization of contracts with clients and suppliers to create databases and audit said information in relation to other financial sources. – Account statements: Loading of bank account statements to parameterize transactions and link them as evidence with the rest of the financial information. – Accounting: Accounting voucher audit service.
DATA SECURITY
WISE CRICKET implements robust security measures, including SSL technology and AES-256 encryption, with the objective of protecting the information that the User shares through the Application. In this sense, WISE CRICKET commits to use the User’s data only in accordance with the authorizations granted by them and in adherence to what is provided in these T&Cs.
LICENSE
By virtue of this instrument, WISE CRICKET grants the User a temporary, non-exclusive, revocable and limited use license over the Application, for personal use, in accordance with the provisions of these T&Cs, as well as the general and technical specifications described, enunciatively but not limitatively, in the following sections and, where applicable, in additional Contracts.
INTELLECTUAL PROPERTY
The Parties recognize that all intellectual property rights that correspond to each of them are of exclusive ownership and will continue to be so. Nothing contained in these T&Cs will be interpreted as an assignment, transmission or authorization for the use of the intellectual property of the other Party, unless expressly indicated otherwise. In this sense, it is understood between the Parties that the Application is granted under a use license, non-exclusive and temporary in nature. The Application is protected by the Federal Copyright Law and international treaties signed by Mexico on intellectual property matters. Therefore, the Application and related products or services must be treated like any other material protected by copyright. It is strictly prohibited to rent, lease, lend or transfer the Application in any way without express written authorization from the rights holder.
USER PROHIBITIONS
The User may not reproduce, modify, alter, distribute, publicly communicate, transform, disassemble, adapt, fragment, resell or exploit in any way the Application or any of its components, totally or partially, by any means, present or future, other than expressly permitted in these T&Cs. Likewise, it is prohibited to perform any type of reverse engineering on the Application for the purpose of accessing, modifying or using its source code or object code, without prior written authorization from WISE CRICKET.
LIMITATION OF LIABILITY
The User acknowledges and accepts that the use of the Application is carried out under their exclusive responsibility. WISE CRICKET does not guarantee that the information, alerts, errors or findings generated by the Application are accurate, complete or appropriate to comply with specific tax, accounting or financial obligations. The results generated by the Application are based on artificial intelligence models that may contain errors or omissions. Under no circumstances should they be considered as professional advice. To the maximum extent permitted by applicable legislation, WISE CRICKET will not be responsible for any type of damage—direct, indirect, incidental, special, punitive or consequential—that could derive from the use or inability to use the Application.
JURISDICTION
These T&Cs will be governed by the applicable laws in the United Mexican States. The User expressly waives any jurisdiction that may correspond to them by reason of their present or future domicile, and accepts to submit to the exclusive jurisdiction of the competent courts in Mexico City for the resolution of any conflict related to these T&Cs.
